Corporate Annual Reports
The purpose of a Florida Secretary of State corporate annual report is to update and confirm the Florida Department of State, Division of Corporations's records regarding a business's information and to maintain the business's active status with the state. By filing the report, businesses ensure their registered agent information, addresses, and officers are current, which is essential for keeping the entity in good standing, avoiding late fees, and preventing administrative dissolution. The report is not a financial statement and does not include financial information or an ownership listing.
Fees
The current fee is $61.25 each year to file the corporate report between 1 January and 1 May. A $400 late fee is assessed if not filed by 1 May of each year. If the report is not filed by the third Friday of September, the business entity is administratively dissolved.
